Tranio and the Merchant (as Vincentio) go to visit Baptista to discuss Bianca's dowry.  They speak to him, and they agree to finalize the contracts later at Lucentio's house. They are afraid that Gremio is still lurking around and do not want him interfering.  Baptista tells Lucentio (as Cambio) to go tell Bianca the good news about her engagement and he leaves to do so.  While away, his servant Biondello informs him that the arrangements are made for his planned elopement with Bianca.
